Ontop Reconnect & Earn Referral Programs

These General Terms and Conditions (these “Terms” or “T&Cs”) apply to all persons who participate in the Ontop Reconnect & Earn Program 2024 (the “Program”).

🧐 PLEASE READ THESE TERMS CAREFULLY BEFORE PARTICIPATING IN THE PROGRAM. THESE TERMS ARE NON-NEGOTIABLE.

You will be informed if these Terms are updated pursuant to Section 7.1 - Changes.

‍

1. Let’s Begin! Overview of the Program 🪂

The Ontop Platform facilitates payments to individuals through the Ontop Card. The Program aims to incentivize previous Ontop users who have taken full advantage of our services to refer new potential customers to Ontop. Participants can earn commissions for organizing meetings with SQLs (“Sales Qualified Leads”) or successfully signing new customers.

2. Key Definitions 🙋

🫰 “Commission” refers to any form of payment in the form of cash or cash-equivalents paid to Participants for successful referrals, deposited in their Ontop Card.

🔛🔝 “Ontop”, “us”, “our” and “we” refer to Ontop Holdings Inc., a US corporation organized under the laws of the State of Delaware, and its affiliates/subsidiaries.

👉 “Participant(s)” or “you” refer to individuals who used to receive compensation through Ontop and are eligible to participate in the Program to refer potential customers and earn Commissions.

‍

Any capitalized terms used but not defined in these Terms will have the meaning ascribed to them in the B2B General Terms and Conditions.

3. Participating in the Program 🎟️

3.1 Eligibility. Only individuals who previously used Ontop services for compensation and fully utilized them are eligible to participate in this Program.

‍3.2 Referral Process. Participants can earn Commissions by referring SQLs to Ontop. To do so, they must organize a sit-down meeting between Ontop and the SQL.

‍

3.3 Referral Cap. Participants can earn up to $100 USD for arranging meetings with SQLs, with a cap of $100 USD per Participant.

4. Commissions for Referrals 🫰

‍4.1 Sit-down Meeting Commission. Participants will receive $50 USD for each successfully organized sit-down meeting with a SQL. The cap for this Commission is $100 USD.

‍4.2 New Client Signing Commission. Participants will receive a one-time commission of $200 USD for each new company successfully signed up with Ontop as a result of the referral.

4.3 Payout Timing. All commissions will be deposited into the Participant's Ontop Card within thirty (30) working days of the sit-down meeting or the signing of a new company, as applicable.

4.4 Referral Limitations. Referrals must be new leads, and previous clients or leads that have engaged with Ontop through past demos or sales efforts are not eligible for commissions.

4.5 Modifications. We reserve the right to modify the terms and conditions of this Program at any time and for any reason.

5. Other Terms Applicable to the Program 📄

5.1 💻 B2B General Terms and Conditions. The B2B General Terms and Conditions govern Ontop Services to its Clients in general (“B2B T&Cs”).

5.2 🔐 Privacy Policy. Ontop’s Privacy Policy outlines how we collect, process, use, and disclose personal data from Participants.

5.3 🧺 AML Policy. Your participation in the Program is subject to our Anti-Money Laundering Policy.

6. Term and Termination ⏳✂️

These Terms will remain in effect while you participate in the Program. Any provisions intended to survive expiration or termination will remain in effect.

7. General 🪖

7.1 🔀Changes. We may revise these Terms occasionally. Any substantial changes will be communicated via email or by posting on our website. Participation following the notice of changes indicates acceptance of the revised Terms.

7.2 ⚖️ Governing Law. These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. The courts in Miami-Dade County, Florida, will have jurisdiction to settle disputes.

7.3 Electronic Communications. You consent to receive communications from us electronically, and agree that electronic agreements satisfy any legal requirements.

7.4 Entire Terms. These Terms constitute the entire agreement regarding the Program. No provision shall be considered waived unless agreed in writing by us. Your relationship to Ontop is that of an independent contractor, not a partner or agent.
