Ontop Webinar Referral Program

These General Terms and Conditions (these "Terms" or "T&Cs") apply to all individuals who participate in the Webinar Referral Program (the "Program") provided by Ontop Holdings Inc., a U.S. corporation organized under the laws of the State of Delaware ("Ontop", "us", or "we").

🧐 PLEASE READ THESE TERMS CAREFULLY BEFORE PARTICIPATING IN THE PROGRAM. THESE TERMS ARE NON-NEGOTIABLE.

This Program may be subject to additional guidelines, terms, or rules, which will be posted on our website or included in relevant communications detailing the specific offer. All such additional terms, guidelines, and/or rules are incorporated by reference into these Terms.

You will be informed if these Terms are updated pursuant to Section 7.1 - Changes.

1. Program Overview 🪂

The Ontop Platform empowers businesses to contract, onboard, make payments to, and manage relationships with local and international independent contractors. This Program allows attendees of the webinar titled "Fuck Ups Legales Durante un Proceso de Growth by Ontop & Phylo" (the "Webinar"), which took place on November 19th, 2024, to receive the following discounts:

- 30% OFF on Contractor Pro Services for six (6) months

- 20% OFF on EOR Services for six (6) months

If attendees do not use the Discount within three (3) months from the date of the Webinar, they may refer someone else to use the Discount on their behalf by completing this Typeform.

2. Who or What is That? 🙋

🏢 “Client” means any individual or legal entity that engages Ontop to contract, onboard, make payments to, and/or manage relationships with Workers.

👷 “Worker” is an individual who performs services for Clients.

‍

💻 “Ontop Platform” or the “Platform” means the proprietary software as a service (SaaS) platform available via login through the Ontop Website and through mobile apps available on Apple iOS and Android.

‍

🛎️ “Ontop Services” or the “Services” are the payroll management services available to Clients and Workers on the Ontop Platform, including but not limited to contracting, onboarding, making payments to, and managing relationships with Workers.

‍

👉 “Participant(s)” or “you” are individuals who participate in the Program to receive the Discount or refer others to Ontop Services.

‍

🌐 “Ontop Website” or the “Website” means the website located at www.getontop.com.

‍

"Discount" means the following reductions in fees for Ontop Services, available to Webinar attendees or their referrals:

- 30% OFF on Contractor Pro Services for six (6) months

- 20% OFF on EOR Services for six (6) months‍

3. Participating in the Program 🎟️

3.1 Eligibility for Discount. To be eligible for the Discount, you must have attended the Webinar. The Discount is valid for three (3) months from the date of the Webinar.

‍3.2 Using or Referring the Discount. Within three (3) months from the date of the Webinar, you have two options:

- Use the Discount Yourself: You may fill out this Typeform to utilize the Discount for Ontop Services provided to you or your Company; or

- Refer the Discount to Someone Else: If you choose not to use the Discount yourself, you may fill out this Typeform with the details of another individual or company to use the Discount on your behalf. In this case:

The referred party will receive the Discount as specified.

You, as the Webinar attendee, may receive a commission, which will be coordinated with Ontop separately.

‍3.3 Referral Process. The referred individual or company must not be an existing Client of Ontop. The referred party must sign up for Ontop Services and agree to the Ontop Platform Terms. The Discount is applicable to the referred party's Ontop Services fees.

4. Discount Terms 🫰

‍4.1 Discount Details. The Discount consists of:

- 30% OFF on Contractor Pro Services for six (6) months

- 20% OFF on EOR Services for six (6) months

The Discount applies to Webinar attendee or the referred party's invoices for Ontop Services during the six-month period.

‍4.2 Validity. The Discount must be used within three (3) months from the date of the Webinar. If referred, the referred party must sign up and use the Discount within this period.

4.3 Limitations. The Discount cannot be combined with other promotions, discounts, or offers. The Discount is non-transferable except as expressly provided in these Terms.

5. Other Terms Applicable to the Program 📄

5.1 💻 Client General Terms and Conditions. The Client General Terms and Conditions govern Ontop Services to its Clients in general (“Client T&Cs”). Any definitions that are not defined by these Terms will have the meanings ascribed to them in the Client T&Cs.

5.2 🔐 Privacy Policy. The Ontop Privacy Policy provides information on how Ontop collects, processes, uses, retains and discloses personal data and/or other information that it receives from Participants that sign up for this Program. Participants acknowledge and understand that Ontop may collect, process, use, retain and disclose User personal data and/or other information pursuant to Ontop’s Privacy Policy, as updated from time to time.

5.3 🧺 AML Policy. Your access to the Program is also subject to our Anti-Money Laundering Policy.

6. Term and Termination ⏳✂️

Subject to this Section, these Terms will remain in full force and effect while you are participating in the Program. Even after your rights under these Terms are terminated, any provisions which by their nature are meant to survive expiration or early termination of these Terms will remain in effect.

7. General 🪖

7.1 🔀Changes. These Terms are subject to occasional revision. If we make any substantial changes, we may notify you by sending an email to the last email address you provided (if any), and/or by prominently posting notice of the changes on our website. You are responsible for providing us with your most current email address. Continued participation in the Program following notice of such changes shall indicate your acknowledgment of such changes and agreement to be bound by the terms and conditions of such changes.

7.2 ⚖️ Governing Law. These Terms will be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Each party irrevocably agrees that the state and federal courts in Miami-Dade County, Florida, will have jurisdiction to settle any such dispute or claim.

7.3 Electronic Communications. Communications between you and Ontop use electronic means, whether you use our Website or send us emails. For contractual purposes, you (a) consent to receive communications from us in electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications would satisfy if they were in hardcopy. The foregoing does not affect your non-waivable rights.

7.4 Entire Agreement. These Terms constitute the entire agreement between you and us regarding the Program. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, the other provisions will remain unimpaired, and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.
