YOU ACCEPT AND AGREE TO THESE TERMS BY DOING ANY OF THE FOLLOWING:
IF YOU ARE ACTING ON BEHALF OF A COMPANY OR ANOTHER LEGAL ENTITY, YOU CONFIRM THAT YOU ARE AUTHORIZED TO BIND THAT ENTITY TO THESE TERMS. IF YOU DO NOT AGREE, PLEASE DO NOT USE THE PLATFORM, OR ANY OF OUR SERVICES.
The Services may not be accessed for purposes of monitoring their availability, performance, or functionality, or for any other benchmarking or competitive purposes. Ontop’s competitors are prohibited from accessing the Services, except with Ontop’s prior written consent.
These Terms apply from the date you accept them (the “Effective Date”) and continue until terminated as set forth herein.
PURSUANT TO SECTION 9.10.1 of Worker T&Cs, EACH PARTY WAIVES ITS RIGHT TO A TRIAL BY JURY TO THE FULLEST EXTENT PERMITTED BY LAW. THIS WAIVER SHALL NOT PREVENT EITHER PARTY FROM SEEKING PRELIMINARY OR INJUNCTIVE RELIEF IN A COURT OF COMPETENT JURISDICTION, WHERE APPROPRIATE.
We have given a summary of each section to give you a clear overview of what that section contains. These summaries are just for reference and do not form a part of the Agreement.
Certain words have specific meanings, which are all set out in the Definitions section at the end of these Terms. We have included the meanings of certain words in some sections where it is important to do so.
1. Let’s Begin! Overview of the Worker Wallet 🪂🏋️💵
Summary: These Wallet Terms work together with the Worker T&Cs and include rules from our Privacy Policy, Acceptable Use Policy, AML/BSA Policy, and others. Your data may be used for fraud prevention. The Wallet is operated by Ontop and its partners, not a bank, and services may involve regulated institutions.
These Terms are incorporated by reference in our Worker General Terms and Conditions (“Worker T&Cs”). Any matter not governed and/or regulated under these Terms will be subject to the Worker T&Cs. In the event of any conflict or discrepancy between these Terms and the Worker T&Cs, these Terms will prevail.
1.1.2. 🔐 Privacy Policy.
Pursuant to Section 6 of the Worker T&Cs, the Ontop Privacy Policy (“Privacy Policy”) your use of the Worker Wallet involves the collection and processing of certain personal data, including transaction details, device information, and identity-related data, for purposes such as fraud prevention, regulatory compliance, and service delivery. This processing is carried out in accordance with our Privacy Policy, which is incorporated by reference and applies in full to the Wallet Services. By using the Wallet, you acknowledge and consent to this data processing as permitted under applicable data protection laws.
1.1.2.1 Data Processing in the Context of Fraud Prevention. For all instances of Wallet transactions, including but not limited to personal account number, transaction date and time, routing number, crypto wallet address, transaction amount, Merchant information (name, ID, URL), and, if applicable, the IP address from which the transaction was initiated will be stored. This data will also be processed and evaluated for the creation of a User profile for the purpose of fraud prevention by service providers specializing in this area on our behalf. You hereby authorize us to exchange your personal data with the Ontop Card Provider or third-party service providers for the purposes of fraud prevention and/or related data processing. Furthermore, if a transaction is declined or your account is impacted as a result of our automated fraud prevention systems, you have the right to request human intervention to review the decision. You can learn more about these rights and how to exercise them in our Privacy Policy.
1.1.2.2 Your Rights Regarding This Processing. Under applicable data protection laws, you have the right to object to processing based on our legitimate interests. Furthermore, if a transaction is declined or your account is impacted as a result of our automated fraud prevention systems, you have the right to request human intervention to review the decision. You can learn more about these rights and how to exercise them in our Privacy Policy.
1.1.3 Additional Policies Incorporated by Reference
Pursuant to Section 6.4 of the Worker T&Cs, your use of the Worker Wallet is also subject to additional policies incorporated by reference, including but not limited to:
These policies and declarations, as updated from time to time, form an integral part of your agreement with Ontop. By using the Worker Wallet, you acknowledge and agree to these terms and that these terms apply to the extent relevant to the use of the Worker Wallet.
Ontop and/or its affiliates and subsidiaries (“Ontop Group”) offer their products and services through the Ontop Platform. By creating a Worker Account and accepting these Terms, you gain access to the Ontop Platform under the terms set out in the Worker T&Cs. From time to time, Ontop or other members of the Ontop Group may provide you with Ontop Services under separate Service Schedules and/or a Statement of Work (“SOW”), each of which incorporates the terms of this Agreement by reference.
Ontop is not licensed as a bank in the US and does not provide banking services. Ontop Holdings Inc. is registered with the Financial Crimes Enforcement Network (FinCEN) and renews its registration annually.
Ontop collaborates with Regulated Institutions that may directly provide specific services to you. These Regulated Institutions operate in compliance with applicable local financial regulations. A summary of the Ontop Services, the Regulated Institutions involved, and links to the applicable Service Schedules and/or SOWs may be provided via the Platform or directly by Ontop. The fees associated with these services are detailed in the applicable SOW or Fee Schedule.
2. Who or What is That? 🙋 Key Definitions
Summary: These definitions clarify who the Wallet Terms apply to, define key terms, and explain the Worker Wallet and Euro Wallet. Other capitalized terms are defined in the Worker T&Cs.
Any capitalized terms that are not defined by these Terms will have the meanings ascribed to them in the Worker T&Cs.
👉 “Worker Wallet User”, “you” and “your”, within the context of these Terms, means Workers that use Ontop Worker Wallet.
💵 “Euro Wallet” means a digital wallet feature made available by Ontop that allows eligible Workers to hold and transfer funds denominated in Euros (EUR). The Euro Wallet operates under the same framework, functionalities, and terms applicable to the Ontop Worker Wallet, except where expressly stated otherwise in these Terms or in the Worker T&Cs. References to “Worker Wallet” shall be deemed to include the Euro Wallet, unless the context indicates otherwise.
🏋️💵“Ontop Worker Wallet” or “Worker Wallet” means the electronic or digital wallet account available to Workers from within the Ontop Platform that allows you to receive compensation payments from Clients and make electronic transactions to your own personal account(s) or to third-party accounts.
3. Access to the Worker Wallet 🎟🏋️💵
Summary: Access to the Worker Wallet and Euro Wallet depends on your location, regulatory compliance, and Ontop’s internal policies. Availability may be limited or revoked at Ontop’s discretion.
You may have access to the Worker Wallet on the Ontop Platform. However, access and availability may be limited or modified based on compliance and operational feasibility within the Worker’s jurisdiction or as otherwise specified in any relevant document of which Ontop has the knowledge, including agreements between Ontop and the Client, Ontop and you, or between the Client and you, depending on the business model. Currently, the Worker Wallet is accessible to Workers in selected countries and is not available to Employees hired under the EOR model. We continuously evaluate both the availability and accessibility of the Worker Wallet to meet our operational standards and compliance requirements. We reserve the right to expand or restrict access at our sole discretion.
The Euro Wallet may be available to you depending on your jurisdiction, internal compliance assessments, product availability, and applicable regulatory requirements. Access to the Euro Wallet is not guaranteed and may be restricted, suspended, or revoked at Ontop’s sole discretion. Where available, the Euro Wallet enables you to hold and transact in Euros, subject to the same terms and conditions set forth in these Worker Wallet Terms and in the Worker T&Cs, except where explicitly stated otherwise. Any reference in these Terms of Service to USD, United States Dollars, American Dollars, or any similar denomination shall be deemed to refer to the equivalent amount in Euros when the service pertains to the Euro Wallet. This includes, without limitation, any applicable foreign exchange rates, fees, or other charges, which shall be displayed and applied in Euros.
4. Ontop as Payment Agent 💸🕴
Summary: Ontop receives payments on your behalf. Funds go to your Worker Wallet or bank account, depending on your setup. Payment is complete once funds are credited.
4.1 Acceptance of Ontop as your Payment Agent. As mentioned in Section 7 of the Worker T&Cs, you authorize us to act as your Payment Agent by receiving Client payments on your behalf. Our role as Payment Agent extends to funds transferred to your personal account (when Worker Wallet is not an option) or to Worker Wallet, which can allow you to receive or transfer funds out of your Worker Wallet.
4.1.1 You Sign; Client-Contractor Relationship with Ontop acting as a Payment Agent. When you are being hired by a Client through the Ontop Platform, we will act as your Payment Agent and receive from the respective Clients all payments due to you. All funds related to such payments will be credited to your Worker Wallet, unless the Worker Wallet is unavailable to you or in your jurisdiction, in which case you will receive the Compensation through OOW payment credited to the bank account you have designated to Ontop in writing or via the Platform.
4.1.2 Ontop Signs; Ontop-Contractor Relationship. When we are contracting with you directly on behalf of a Client, all of your amounts receivable will be paid by us and credited directly to your Worker Wallet, unless the Worker Wallet is unavailable to you or in your jurisdiction, in which case you will receive the Compensation through an OOW payment credited to the bank account you have designated to Ontop in writing or via the Platform.
4.1.3 Credit to Worker Wallet Constitutes Performance. You acknowledge and agree that we fulfill our obligation as a Payment Agent and/or contracting party upon crediting Contractor Compensation or its equivalent in United States Dollars to the Worker Wallet balance or your personal account if you receive Compensation under an OOW model pursuant to Section 5.5.3 of the Worker T&Cs.
4.1.4 EOR; Ontop-Employee Relationship. When you are hired as an Employee, your salary will be paid according to local labor laws and exchange regulations. Generally, you will receive your salary in local currency in your local bank account. Exceptions may apply from country to country, but they will always comply with local laws and regulations. You acknowledge and agree that we fulfill our payment obligation as the employer upon crediting of your salary to the local bank account of your choosing. If you are based in a country that allows Employees to have a Worker Wallet, we may allow you to transfer part of your compensation to the Worker Wallet, but subject to express authorization from you and compliance with local labor laws.
5. Worker Wallet Usage, Conditions, Limits and Restrictions 🏋️💵
Summary: The Worker Wallet lets you hold and transfer USD. You are responsible for taxes and the correct info. Ontop is not liable for delays, errors, or currency issues. P2P and subscriptions are optional. Ontop may merge personal and business wallets.
5.1 Wallet Balance and Payment Methods. Through the Worker Wallet, you will be able to: (i) access information about the balance of amounts receivable under your contract(s) with clients, which are held in your Worker Wallet in US Dollars (the only supported currency); (ii) retain your funds in the Worker Wallet; and (iii) initiate transfers of funds from your Worker Wallet to your personal or third-party accounts (when available) using various available payment methods. Please note that transfers to third parties are subject to additional screening as needed.
5.2 Confirmation of Wallet Transactions. The Worker Wallet will allow you to view the details of a given transaction in a pop-up or downloadable transaction summary (in .pdf format). This summary will include details on the payment method selected and may include information on the estimated time of transfer, applicable fees, and/or foreign exchange rates, among other information. Such estimates are provided for your reference and mere convenience only and are subject to change. Up to the conclusion of a given transaction, different times and rates may apply. The transaction summary should not be considered a tax invoice. Any Card purchase made with your Ontop Card will also be debited from your Worker Wallet and reflected in your Wallet balance. You acknowledge that all Card transactions are processed using Wallet funds, and your available balance will be adjusted accordingly.
5.3 Wallet Transactions through Regulated Institutions. All transactions available through the Worker Wallet are processed by a Regulated Institution. Regulated Institution retail fees and rates will be charged to the Worker, as applicable, at the time of execution of the relevant transaction. Regulated Institutions usually report transactions periodically to the competent financial authority in your jurisdiction (e.g., central banks). As such, Worker Wallet transactions may be subject to reporting and other additional obligations before the competent financial authority in your jurisdiction. Please contact your accountant and/or tax advisor for additional information on any requirements you have to fulfill.
5.4 Requests for Worker Wallet Transfers.Ontop is not liable for any inaccuracies in the information provided on the platform concerning fund transfers. It is your responsibility to verify all details before initiating transfers to personal or third-party accounts, as applicable, to ensure accuracy and prevent errors. Upon our receipt of payment transfer instructions from you through the Ontop Worker Wallet, we will direct a Regulated Institution to transfer funds from your Worker Wallet to your designated bank account and/or the preferred payment method.
5.5 Accounting for Individual Balances.By acceptance of the Worker T&Cs and these Worker Wallet Terms, you acknowledge, understand, and authorize that your amounts receivable in the Worker Wallet and funds received by us from Clients as Compensations to be made to you through the Ontop Platform may be combined in the same client money account held by us with JP Morgan Chase Bank. For the avoidance of doubt, we have practices and procedures in place to accurately and precisely account for the amount attributed to each Worker, which we understand to be sufficient to satisfy and comply with Federal Deposit Insurance Corporation requirements to classify as “pass-through” deposit insurance coverage for each individual Worker. Nevertheless, Ontop is not an FDIC-insured institution. FDIC insurance coverage is provided solely by JP Morgan Chase Bank, and deposit insurance covers the failure of JP Morgan Chase only as an insured bank. Notwithstanding the above, we will maintain the funds we receive from Clients separate and distinct from other funds deposited to any other operational account maintained by us with JP Morgan Chase Bank.
5.6 Tax Withholdings. Under the You Sign, Contractor Pro, and Ontop Signs business models, Ontop is not responsible for any tax withholdings that are or should be made when payments are processed through the Worker Wallet. Additionally, we are not liable for any exchange-related requirements enforced by central banks or government authorities, as all currency exchanges are facilitated by Regulated Institutions. You agree to defend, indemnify, and hold Ontop harmless to the fullest extent for any fines, penalties, or interest imposed on us due to your non-compliance with applicable tax or foreign exchange regulations. This indemnification covers any claims made by any government authority.
5.7 Wallet Currency and Exchange Rates. All balances, statements, and financial information available to you through the Worker Wallet will be stipulated in United States Dollars. In the event that your compensation is set in a currency other than United States Dollars, you represent and warrant that you are aware that your use of the Worker Wallet may imply differences between (i) the local currency equivalent in United States Dollars paid by the Client to us after the invoice has been issued, which is subsequently credited to your Worker Wallet balance and (ii) the amount received by you in local currency and/or other monetary value after providing payment instructions to your designated payment method. These differences may occur due to the time period from the credit into the Worker Wallet balance and your instructions to transfer the amount. We will not be responsible or liable for any exchange rate differences and/or fluctuations caused by your use of the Worker Wallet for contracts stated in currencies other than United States Dollars. You acknowledge and agree that all of your payments and transactions through the Worker Wallet are processed by Regulated Institutions and that we are not responsible, nor will you hold us liable, for any discrepancy between the information available to you in the Worker Wallet and the amount effectively received by you upon your transfer request. We are not responsible or liable for foreign exchange obligations applicable to Workers in their respective jurisdictions. You must consult with their tax advisors and/or accountants in order to comply with said obligations.
5.8 Subscription Plans. We may offer you subscription services that are supplementary to the Ontop Worker Wallet and/or Ontop Card (“SubscriptionPlans”). Subscription Plans are subject to the payment of a subscription fee, in exchange for certain benefits for spending money through the Ontop Card, keeping money in your Worker Wallet, or otherwise. You consent that access to your Worker Wallet allows us to make you offers to subscribe to Subscription Plans. The terms of service for specific Subscription Plans will apply, as updated from time to time on our Website. You can opt out or unsubscribe from Subscription Plans at any time.
5.9 Payment Agent Compliance. Solely to protect against money laundering and terrorist financing, fraud, and unauthorized transactions, Ontop and Regulated Institution providers will collect, store, and analyze your payment information. For more information on how we use your payment information, please see our Privacy Policy. Regulated Institutions may also collect payment information necessary to process your payments and transactions. Except for payment amount and payment status details stored on our Platform, we do not have access to payment information provided to Regulated Institutions, and such information will be subject to the privacy policy of each Regulated Institution.
5.10 Peer-to-Peer Transfers (P2P). Ontop may allow you to transfer funds directly from your Worker Wallet to the Wallet of another Ontop User using a P2P (peer-to-peer) transfer feature. You may only use this feature if you are an eligible and active User, and only to send funds to other Ontop Users who have a Worker Wallet. P2P transfers are limited to a minimum of $1 per transaction, a maximum of $300 per transaction, and an aggregate maximum of $1,000 in transfer volume per calendar month. Ontop reserves the right to suspend, limit, or revoke your access to the P2P feature at any time and for any reason, including for fraud prevention, legal, or compliance purposes. You acknowledge that transfers are final and may not be reversed once completed. You are solely responsible for ensuring the accuracy of the recipient's user tag or information. Ontop assumes no responsibility for any mistaken, unauthorized, or fraudulent transfers made using the P2P feature. You agree that P2P transfers may be subject to monitoring and recorded for audit, legal, and regulatory compliance purposes. The availability of the P2P feature may vary depending on your location, account status, and contractual model. Ontop reserves the right not to make this feature available to certain jurisdictions or user types.
5.11 Transfers, Payment Processing Delays, and Deductions. Pursuant to Section 5.6 of the Worker T&Cs. You acknowledge and accept that (i) transfers and/or payment timelines to or from your Worker Wallet may vary depending on the payment and/or transfer method, banking partners, and jurisdictional requirements. Ontop may promptly notify you of any delays once identified by Ontop, and Ontop will make commercially reasonable efforts to facilitate resolution. However, Ontop shall not be responsible for any losses, penalties, interest, exchange rate fluctuations, or additional costs that arise due to such delays outside of Ontop’s direct control; (ii) Ontop is not liable for delays caused by a Client’s failure to provide timely funding and/or payment of its obligations. Payments may only be executed once Clients have fully funded the transaction and satisfied all applicable BSA/AML requirements and contractual requirements with Ontop; and (iii) you expressly authorize any deduction in accordance with Sections 5.6.3 and 5.8 of the Worker T&Cs.
5.12 Payment Information Representations. By using any payment method and providing payment information to Ontop or to any Regulated Institution, you represent and warrant that you are the owner, or authorized representative of the owner of the bank account or payment method account that you use to send or receive payments, and that you are legally authorized to send or receive payments using such accounts. All payment services, including withdrawal services, will be provided by our Regulation Institution providers.
5.13 Incorrect or incomplete Information and Fees.Pursuant to Section 5.7 of the Worker T&Cs, you acknowledge and agree that if funds are sent to an erroneous account due to incorrect or incomplete information provided by you, Ontop will make reasonable efforts to assist in the recovery of such funds but shall not be liable for any resulting loss or costs. Exception Fees may apply in accordance with the Fee Schedule.
5.14 Merging of Worker Wallets. If you initially access the Ontop Platform and open a Worker Wallet as an individual and subsequently enter into a service agreement or use the Platform through a business entity, or vice versa, you expressly authorize Ontop, at its sole and absolute discretion, to merge the individual and business-related Worker Wallets. In such a case, the most recently created Worker Wallet shall prevail and supersede the prior Wallet, and Ontop shall transfer any remaining balance from the earlier Wallet to the latest one. You acknowledge and agree that this merger, and any associated movement or consolidation of funds between the merged accounts, may have legal, tax, accounting, compliance, or regulatory implications. Ontop does not provide tax, legal, or accounting advice and shall bear no responsibility or liability for any consequences, disclosures, filings, or reporting obligations arising from or related to the merged accounts or the transfer of funds. You remain solely responsible for evaluating and addressing any effects of such merger, including any reporting or compliance duties in your relevant jurisdiction(s).
5.15 Daily Transaction Limits. For security and compliance reasons, Ontop may apply daily transactional limits to your Worker Wallet. Currently, the total amount you can transfer or withdraw in one calendar day may not exceed $30,000 USD, unless otherwise approved by Ontop. If you reach this limit, additional transactions will be temporarily blocked, and you may be asked to complete a verification form to resume transfers. Ontop may change or apply further restrictions based on risk, compliance, or operational needs, with or without prior notice.
6. Worker Wallet Fees 🏋️💵 🫰
6.1 No Wallet Maintenance Fee. So long as you are an active user of the Worker Wallet, we won’t charge you for your use or maintenance of the Worker Wallet. However, transactions may be subject to applicable fees and/or foreign exchange rates as mentioned in Sections 5.2 and 5.3 above.
6.2 Wallet Inactivity Fees.
7. Security Responsibilities of Your Ontop Worker Wallet Account
Summary: You must follow all security rules in the Worker T&Cs to protect your Wallet, the Platform, and related services.
Pursuant to Section 1.1.1 above, you must comply with all applicable security responsibilities and measures set forth in Sections 4.1.4 to 4.1.8 of the Worker T&Cs. These include your obligations related to the Ontop Platform, Ontop Website, and any services derived from the use of the Wallet and its features.
8. Error Resolution and Entry Correction
Summary: As outlined in the Worker T&Cs, you must report issues within 60 days. Ontop will investigate, correct confirmed errors, and may recover overpayments. Payments may be delayed or adjusted, and balances can go negative. Ontop isn’t liable. You’re responsible for accurate info. Escalate unresolved issues if needed.
Pursuant to Section 1.1.1 above, the procedures for reporting, investigating, and resolving erroneous or unauthorized transactions, as well as provisions regarding negative balances and correction of erroneous credits, are governed by Section 5.8 of the Worker T&Cs. This includes your responsibilities to promptly notify Ontop of any unauthorized debits, your rights during the investigation process, and the steps Ontop may take to correct errors or recover mistaken credits.
9. No Liability for Payment Refusals
Summary: Ontop isn’t liable for losses from payment refusals, delays, or if a User doesn’t accept or complete a payment.
You acknowledge and agree that Ontop shall not be liable for any losses, damages, or claims (including, without limitation, for lost profits or indirect, consequential, or special damages) arising from any refusal of payment made in accordance with these Terms, even if such refusal causes delays or disruptions to your operations or those of any third party. For the avoidance of doubt, Ontop shall also not be liable for any losses, damages, or claims resulting from a refusal or failure by a User to accept or complete a payment.
10. Disclaimer⚠️
Summary: Ontop offers the Wallet and related services “as is” without warranties. It’s not liable for errors, delays, or service issues. Some legal limits may apply.
THE ONTOP PLATFORM, INCLUDING THE WORKER WALLET, AND ANY VARIATION AS EURO WALLET, AND/OR RELATED SERVICES, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. ONTOP, ONTOP GROUP, ITS AFFILIATES, SUPPLIERS, SERVICE PROVIDERS, AND PARTNERS EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, NON-INFRINGEMENT, OR ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
ONTOP MAKES NO WARRANTY THAT THE PLATFORM, ONTOP WORKER WALLET, ONTOP CARD, OR ANY RELATED FEATURES, VARIATIONS, OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT GUARANTEE THAT THE PLATFORM OR ITS INFRASTRUCTURE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY FEATURE OR DELIVERABLE WILL MEET YOUR EXPECTATIONS OR OPERATE WITHOUT DISRUPTION.
YOU ACKNOWLEDGE THAT USE OF THE PLATFORM, WORKER WALLET, OR CARD MAY BE SUBJECT TO LIMITATIONS, DELAYS, OR FAILURES INHERENT TO THE INTERNET, MOBILE NETWORKS, OR TELECOMMUNICATION SYSTEMS, AND THAT ONTOP SHALL NOT BE RESPONSIBLE FOR ANY SUCH ISSUES. WE EXPRESSLY DISCLAIM ANY LIABILITY FOR DELAYS, DELIVERY FAILURES, MISROUTED TRANSACTIONS, OR ANY RESULTING DAMAGES.
